Rinno Closed Beta Tester Agreement

1. Introduction and Acceptance
Thank you for helping test Rinno. This Closed Beta Tester Agreement (this "Beta Agreement") sets the terms for taking part in the Rinno closed beta (the "Beta"). It is a binding agreement between you and Rinno Inc. ("Rinno," "we," "us," or "our"). You accept this Beta Agreement only by affirmatively agreeing to it (by checking the acceptance box or tapping the accept button) when you enroll; installing or using the beta version of the Rinno app (the "Beta App") is not by itself acceptance. If you do not agree, do not join the Beta. Please read Section 5 carefully.
2. How This Fits With Our Other Terms
This Beta Agreement is part of and supplements our Terms of Service, and it works together with our Privacy Policy, our Consumer Health Data Privacy Policy, and our Acceptable Use Policy, each of which is incorporated here by reference and each of which applies to your use of the Beta. This Beta Agreement adds terms that are specific to testing pre-release software. If a term of this Beta Agreement conflicts with the Terms of Service on a Beta-specific matter, this Beta Agreement controls for that matter; on all other matters, the Terms of Service control.
3. Eligibility and Enrollment
To join the Beta you must meet the eligibility requirements in the Terms of Service (you must be at least 18 years old and a United States resident), have received an invitation from us, and have an Apple or Google account able to install the Beta App. The Beta is invite-only, and we may accept, limit, or remove participants at our discretion.
4. What the Beta Is
The Beta is a limited, time-boxed test of pre-release software. You are helping us evaluate and improve Rinno before it is generally available. You should use the Beta App for testing and your own personal tasks, and you should not rely on it for anything important, time-sensitive, or where a mistake would matter.
5. Real Calls, Real Businesses: Acknowledgment and Assumption of Risk
PLEASE READ THIS SECTION CAREFULLY. IT DESCRIBES THE MAIN RISK OF THE BETA.
Rinno is not a simulation. When you give Rinno a task, it places a real telephone call to a real business, using an automated (AI) voice that identifies itself as an automated assistant, and the call ordinarily displays your own verified telephone number (during a live transfer to your own phone, a Rinno-owned number may be shown, as explained in the Terms). You understand and agree that:
- The assistant can make mistakes on a live call. It may mishear or misunderstand, give incorrect or incomplete information, say something unexpected, share the wrong detail, agree to something you did not intend, or fail to complete your task or complete it incorrectly. During the Beta this is expected, not unusual.
- A call cannot be undone. Once a call is placed or in progress, its effects on the business you contacted are real and may not be reversible.
- You request and authorize every call, and you are responsible for your requests. You direct each call, and you authorize Rinno to place it as your agent for the specific task you describe (Terms Section 5). You represent that you have the right and a genuine reason to contact that business and to authorize the task. This allocation of responsibility does not limit any obligation the law independently places on Rinno.
- Accuracy in, accuracy out. You are responsible for the accuracy of the information you give Rinno to relay. Wrong information produces a wrong real-world result.
- Review before you authorize, and verify what matters. Review your task before you start a call, and independently confirm any important outcome (for example, that a cancellation actually processed). Do not rely on Rinno's report alone for anything that matters to you.
- You assume the risks of Beta calling, including a call that conveys wrong information, a task done incorrectly or not at all, an unwanted or mistimed call, a call that inconveniences the business, the assistant saying something inappropriate, or a call that fails partway through.
- Do not use the Beta to place calls in an emergency or any safety-critical situation, to enter into high-value or legally binding transactions, or for anything where an error would be intolerable.
To the maximum extent permitted by law, and as further set out in the Terms of Service, Rinno is not responsible for the outcomes of Beta calls or for decisions you make in reliance on them. This does not ask you to assume risks caused by Rinno's own gross negligence or willful misconduct, by a deceptive statement we make, or that cannot lawfully be waived; the savings clause in Terms Section 15 applies.
If a Beta call goes wrong, tell us right away. If a call books, cancels, changes, or agrees to something you did not intend, or shares the wrong information, contact us immediately at support@rinnoapp.com with the date and the business called, and we will try to help you correct it. Acting quickly gives the best chance of fixing a real-world mistake.
6. Beta Scope and Acceptable Use
Your use of the Beta is governed by our Acceptable Use Policy. In particular, direct Rinno to businesses and organizations (not to private individuals' personal lines), for your own lawful, personal tasks, one call at a time.
Health-related calls (medical or provider appointments). You can use the Beta to contact a medical or provider's office about an appointment (for example, to schedule, confirm, or reschedule). Before Rinno handles any health-related information, it asks for your consent and keeps that information to the minimum the task needs. Rinno acts only as your agent for the scheduling or administrative task; Rinno generally is not a healthcare provider, a medical service, or a HIPAA covered entity or business associate. Any health-related information is handled as described in our Privacy Policy and our Consumer Health Data Privacy Policy. Please do not provide clinical details the task does not require.
7. Pre-Release Software: No Warranty (Beta)
The Beta App is pre-release and is provided "AS IS" and "AS AVAILABLE," with all faults. Beyond the disclaimers in the Terms of Service, you understand that Beta software is likely to be incomplete, to contain bugs and errors, to change or be reset, to fail, and to lose data more often than a finished product. There is no service-level commitment, no guaranteed availability, and no guaranteed support during the Beta. Rinno does not guarantee that any task will succeed or that any business will act in a particular way. To the maximum extent permitted by law, we disclaim all warranties for the Beta as described in the Terms of Service.
8. Feedback
We want your feedback, and giving it is the point of the Beta. When you send us feedback, bug reports, ideas, or similar input, you grant Rinno the perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use it for any purpose, with no obligation or compensation to you (as described in Terms Section 12). This license covers your feedback itself; it does not grant Rinno any rights to use third-party personal information or call content that happens to be included in a report beyond what the Privacy Policy already allows. Your feedback is not your confidential information.
Providing feedback does not change how we handle your call data: call transcripts and summaries still follow our no-audio, consent-based, and 90-day-deletion practices in the Privacy Policy. We will not keep your call content longer to debug a problem unless we tell you and you agree.
9. Your Data During the Beta
Your information is handled under our Privacy Policy and, for health-related information, our Consumer Health Data Privacy Policy. For the Beta, as always: we do not record call audio; at the start of a call Rinno discloses that it is an automated assistant calling on your behalf and that it is keeping a written transcript, and asks the other party for consent, and it keeps a transcript only if consent is given; in our own systems, transcripts and summaries auto-delete after 90 days; and we do not sell your data, and Rinno does not use your calls to train AI models. Our Beta data practices stay within what those policies describe.
10. Confidentiality
The Beta is not public. Please do not publicly share screenshots, screen recordings, benchmarks, or details of unreleased features of the Beta App (for example, on social media, forums, blogs, or with the press). You are welcome to tell people that you are testing Rinno. This does not restrict you from: discussing the Beta in confidence with your own advisors or household; reporting a concern to a regulator, law enforcement, or an app store; making a legally protected disclosure; sharing information that is or becomes public through no fault of yours, or that Rinno has made public; or reporting an accessibility barrier if we have not given you a reasonable private way to do so. This obligation lasts until the feature becomes public or for two years after the Beta ends, whichever comes first, except that trade secrets stay protected for as long as they remain trade secrets.
11. Term, Suspension, and End of the Beta
This Beta Agreement applies while you take part in the Beta. The Beta is time-limited and will end when we close it or when Rinno becomes generally available. We may pause, limit, suspend, or end your access to the Beta, or the Beta itself, at any time and for any reason, without liability. When the Beta ends, your access to the Beta App may stop, and your continued use of Rinno will be governed by the then-current Terms of Service. Sections that by their nature should survive (including Sections 5, 7, 8, 10, and 13) survive the end of the Beta.
12. No Compensation
Participation in the Beta is voluntary and unpaid. You are not entitled to any payment for testing or for feedback. There is no charge to take part in the Beta, and we are under no obligation to launch Rinno, to offer it to you, or to continue your access.
13. Liability, Disputes, and Governing Law
The limitation of liability, indemnification, arbitration agreement, class-action and jury waiver, 30-day opt-out, California SB 940 provisions, and governing-law terms in the Terms of Service (Sections 15 through 18) apply to the Beta and to this Beta Agreement and are incorporated here by reference. Nothing in this Beta Agreement increases Rinno's liability beyond the cap in the Terms of Service.
14. Changes and General Terms
We may update this Beta Agreement during the Beta; if we make material changes, we will give notice and, where appropriate, ask you to accept them. If any part of this Beta Agreement is unenforceable, the rest remains in effect. You may not assign this Beta Agreement; we may. This Beta Agreement, together with the documents it incorporates, is the entire agreement between you and Rinno about the Beta.
